Effective Date: April 8, 2025
This End User License Agreement (“Agreement”) is a legally binding contract between you (“End User”) and LaborPay, LLC (“Company”) governing your access to and use of all LaborPay platforms, including but not limited to mobile applications, web applications, software, and services (collectively, “LaborPay Technology”).
This Agreement covers use of the LaborPay Technology on mobile, desktop, and web-based systems, including future enhancements and integrations across all user environments.
Accessing the LaborPay Technology requires compatible devices, internet access, and up-to-date operating systems. Minimum supported environments will be made available via our Help Center.
Subject to compliance, we grant you a non-exclusive, non-transferable, revocable license to access and use LaborPay Technology solely for your authorized internal business or employment use.
You agree not to (a) reverse-engineer or decompile the software, (b) sublicense or resell access, (c) misuse proprietary elements, or (d) bypass security mechanisms.
LaborPay and its licensors retain full ownership of all intellectual property related to the LaborPay Technology. You may not claim ownership or replicate any part of the platform.
Your data will be handled in accordance with our Privacy Policy, which outlines how we collect, use, and share information. Continued use of our Technology constitutes consent.
LaborPay Technology may link to services requiring separate terms or account verification. These services are subject to their respective Terms of Use and Privacy Policies.
We may update our software or services periodically. You agree to accept such updates which may be critical to functionality or security.
We may suspend or terminate your access for violations of this Agreement or other applicable policies. Upon termination, all rights granted will cease immediately.
Some features or services may not be available in all regions. You are responsible for complying with local laws where you access our Technology.
LaborPay Technology is provided “as-is” without warranty. We do not guarantee uninterrupted or error-free operation or that defects will be corrected.
To the fullest extent allowed by law, our liability is limited to the amount paid (if any) for use of the LaborPay Technology. We are not responsible for indirect or incidental damages.
You agree to defend and indemnify LaborPay against any claim related to your misuse of the Technology or breach of this Agreement.
You agree to comply with all applicable export laws and regulations when using LaborPay Technology.
Any use of LaborPay Technology by U.S. government entities is limited by applicable regulations related to commercial software.
If any provision of this Agreement is found unenforceable, the remainder will remain in full force.
This Agreement is governed by the laws of the Commonwealth of Puerto Rico. All disputes shall be resolved in the courts of San Juan, Puerto Rico.
This document, along with our Terms of Use and Privacy Policy, constitutes the full agreement between you and LaborPay.
Our failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.
